Description of Services

Diginex-US provides the following services, each governed by these Terms:

• Business Directory: a free Digital Profile, or a paid Mini Website + Store subscription (₹10,000/year), for listing and promoting your business.
• Visibility Architecture: a paid subscription service (1, 6, or 12-month terms) covering technical, content, and local search visibility work.
• Find Influencers: a paid research service that identifies and introduces relevant influencers based on your stated niche, region, and budget.
• Find Partners: a free search tool for discovering other registered businesses on our directory.
• B2B Lead Sourcing: a paid research service that identifies and verifies potential business buyers matching your product and target market, sourced from legitimate business directories, LinkedIn, and public registries.
• NFC Smart Cards: physical cards linked to your Digital Profile, purchased as a one-time product.

Account Registration

To create a Business Directory profile, you register using your phone number and a one-time password (OTP) sent via SMS, or by signing in with your Google account. You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate information when registering your business, including whether you serve consumers (B2C), other businesses (B2B), or both, as this determines which features are shown on your public profile.

User Responsibilities

• You are responsible for the accuracy of the business information, products, and content you upload to your profile.
• You will not use our services to list fraudulent, illegal, or misleading business information.
• You are responsible for any communication or agreements you enter into with influencers, partners, leads, or other users discovered through our platform.

Payments & Subscriptions

• One-time services (NFC cards, influencer research packages, B2B lead sourcing packages) are billed in full at the time of purchase, for a defined deliverable.
• Subscription services (Mini Website + Store, Visibility Architecture) are billed upfront for the selected term (monthly, 6-month, or 12-month) and do not auto-renew unless explicitly agreed with you.
• Delivered one-time services are non-refundable once completed. Subscription concerns should be raised directly with us to discuss options.
• Where payment is coordinated via WhatsApp pending full online payment integration, the same terms apply as if paid through our platform directly.

Influencer Research Disclaimer

This section specifically governs our Find Influencers service, and is important to read carefully:

• Diginex-US provides research and introduction services only. We identify and shortlist influencers based on your brief, and facilitate an initial introduction or meeting.
• We do not guarantee that any influencer will agree to collaborate with you, nor do we guarantee the outcome, terms, or success of any collaboration.
• We are not liable for whether a deal, partnership, or collaboration is reached between you and any influencer introduced through our service.
• We do not negotiate rates, manage campaigns, or take a commission from any agreement made between you and an influencer after introduction.
• The fee charged for this service covers the research, shortlisting, and introduction effort — not a guaranteed business outcome.

B2B Lead Sourcing Disclaimer

This section specifically governs our B2B Lead Sourcing service:

• Diginex-US provides research and verification services only. We identify businesses matching your stated criteria and deliver a list of verified contact details sourced from legitimate, publicly available channels.
• We do not guarantee that any lead will respond, engage, or convert into a sale. Outcomes depend on your outreach, pitch, and product fit, which are outside our control.
• We do not scrape, purchase, or use non-consensual contact lists. All leads are researched and cross-verified against legitimate sources before delivery.
• Where a compliant WhatsApp Business API outreach setup is included in your package, we assist with configuration only. You remain responsible for ensuring your ongoing use of that outreach channel complies with applicable regulations, including India's rules on commercial communication.
• The fee charged for this service covers research and verification effort — not a guaranteed business outcome.

Quote Requests Between Users

Our platform allows visitors to submit "Request a Quote" inquiries directly to registered businesses through their public profile. Diginex-US is not a party to any resulting communication, negotiation, or transaction between the inquirer and the business. We do not verify the accuracy of information submitted through these forms and are not responsible for the outcome of any interaction arising from them.

Intellectual Property

The Diginex-US name, logo, website design, and platform code are our property or licensed to us. Content you upload to your Business Directory profile (business name, descriptions, images) remains your property, but you grant us a license to display it as part of operating your profile and, where applicable, the Find Partners search.

Prohibited Uses

• Uploading false, misleading, or fraudulent business information.
• Attempting to access other users' accounts or data without authorization.
• Using our platform to spam, harass, or send unsolicited communication to influencers, partners, leads, or other users.
• Reverse-engineering, scraping, or attempting to extract our platform's underlying data or code without permission.

Limitation of Liability

To the fullest extent permitted by law, Diginex-US is not liable for indirect, incidental, or consequential damages arising from your use of our services, including but not limited to lost business, lost profits, or failed collaborations arising from introductions made through the Find Influencers, Find Partners, or B2B Lead Sourcing services, or from quote requests submitted through user profiles. Our total liability for any claim will not exceed the amount you paid us for the specific service in question.

Termination

We reserve the right to suspend or terminate accounts that violate these Terms, provide fraudulent information, or misuse our platform. You may stop using our services and request account deletion at any time by contacting us.

Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of our services will be subject to the jurisdiction of the courts in Gujarat, India.

Changes to These Terms

We may update these Terms as our services evolve. The "Last updated" date reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the updated Terms.
